A Japanese manufacturer of steel products was looking for a way into the Russia/CIS market. For that purpose, a partnership with a local player was deemed to be necessary. After careful consideration, a candidate in Belarus was selected. So, the next step and the project contents would be to propose the partnership to the candidate, go through the necessary due diligence process and finalize mutual intentions. We have successfully accomplished those tasks and brought the project to the next phase – business plan formulation and JV agreement development.

Project goalsContact the JV partner candidate, and present a compelling proposition to convince it that a joint venture with a Japanese company is a mutually beneficial business opportunity.
Perform additional due diligence on the partner candidate.
Confirm mutual intentions. Sign an MOU/LOI about JV setup.
Execution (methods)Meetings with the partner candidate and related organizations.
Presentation of the joint business proposal to various stakeholders.
Examination of available information, on-site visits, and interviews with the partner candidate representatives and other subject matter experts.
Formulation of the mutually acceptable MOU and organizing a meeting between partners’ management. All necessary support functions.
Major outcomesThe mutually beneficial nature of the proposal was confirmed. Necessary approvals were received. MOU was signed.
Next stepsThe project moved on to the next phase, detailed business plan formulation.
NotesBelarus location and Belarus company were chosen because Belarus companies have very good access to Russia/CIS markets.
